Terms of Service

Please read these Terms of Service carefully before using the Escarpment Smart Home Inc. website or engaging our smart heating and climate control services.

1. Acceptance of Terms

By accessing or using the Escarpment Smart Home Inc. website (the "Site") or any of our smart heating, climate control, or energy management services (the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must stop using the Site and Services immediately.

You must be at least 18 years of age to use the Site or request any Services. By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are accessing the Site on behalf of a business, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

These Terms apply to all visitors, users, customers, and others who access or interact with the Site or Services, regardless of the Canadian province or territory from which they access our platform.

2. Description of Services

Escarpment Smart Home Inc. provides AI-powered smart heating and climate control solutions for residential properties across Canada. Our Services include, but are not limited to:

  • Temperature Prediction: Using machine learning algorithms to forecast indoor temperature changes based on weather data, thermal profiles, and usage history, enabling proactive heating adjustments.
  • Automatic Climate Adjustment: Installation and configuration of smart thermostats and sensor networks that regulate heating and cooling across individual rooms without manual intervention.
  • Solar Generator Integration: Connecting residential solar panel systems to smart heating infrastructure so surplus renewable energy can be routed directly into climate control equipment.
  • Mobile Application Control: Providing a smartphone application (iOS and Android) for remote temperature management, scheduling, energy monitoring, and system alerts.
  • Consultation and Home Assessments: On-site evaluations of existing HVAC infrastructure, insulation quality, and solar capacity to develop tailored climate control plans.

The scope of Services delivered to each customer is determined during the initial consultation and documented in a separate service agreement. These Terms govern your use of the website and establish the general framework for your relationship with Escarpment Smart Home Inc. Specific project deliverables, timelines, and pricing are detailed in individual service contracts provided after the home assessment phase.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with reasonable notice to affected customers where applicable. New features or tools added to the Site or Services are subject to these Terms.

3. User Obligations

When using the Site and Services, you agree to the following obligations:

  • You will use the Site and Services only for lawful purposes and in compliance with all applicable federal, provincial, and local laws of Canada.
  • You will provide accurate, current, and complete information when submitting forms, requesting consultations, or communicating with our team.
  • You will not attempt to gain unauthorized access to any portion of the Site, its servers, or any systems or networks connected to the Site.
  • You will not use any automated means (bots, scrapers, crawlers, or similar tools) to access, copy, monitor, or extract content from the Site without our prior written permission.
  • You will not impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • You will not transmit any viruses, malware, or other harmful code through the Site.
  • You will not interfere with or disrupt the integrity or performance of the Site or the experience of other users.
  • You will not reproduce, duplicate, sell, resell, or exploit any portion of the Site or its content for commercial purposes without our express written consent.
  • You will not engage in any activity that could damage, overburden, or impair the functionality of our servers or networks.

Failure to comply with these obligations may result in the immediate suspension or termination of your access to the Site and Services, as well as any legal remedies available to Escarpment Smart Home Inc.

4. Intellectual Property

All content displayed on the Site, including but not limited to text, graphics, logos, images, icons, photographs, audio and video clips, data compilations, software, and the overall design and arrangement of the Site, is the exclusive property of Escarpment Smart Home Inc. or its content suppliers and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

The Escarpment Smart Home name, logo, and all related product and service names, design marks, and slogans are trademarks or service marks of Escarpment Smart Home Inc. You may not use these marks without our prior written permission.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial purposes. This license does not include the right to:

  • Modify or copy any content from the Site
  • Use any data mining, robots, or similar data gathering tools
  • Download any content unless explicitly offered as a downloadable resource
  • Use Site content for any commercial purpose or public display
  • Create derivative works based on Site content

Any unauthorized use of Site content terminates the license granted in this section and may violate applicable copyright, trademark, and other laws.

5. Disclaimers

The Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Escarpment Smart Home Inc. does not warrant that:

  • The Site will be available at all times, uninterrupted, or error-free
  • The information presented on the Site is accurate, complete, current, or reliable at all times
  • Any specific level of energy savings, cost reduction, or property value increase will result from using our Services
  • The results obtained from using our Services will meet your specific expectations
  • Any defects in the Site or Services will be corrected within a specific timeframe

Energy savings, heating bill reductions, and property value impacts discussed on the Site are based on general industry observations and are provided for informational purposes only. Actual results vary depending on home size, insulation quality, local energy rates, weather conditions, equipment age, and other factors unique to each property. We do not guarantee specific financial outcomes.

All specialists referenced on the Site participate as invited experts. Their involvement in projects is subject to availability and the specific requirements of each engagement.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Escarpment Smart Home Inc., its directors, officers, employees, agents, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with:

  • Your use of or inability to use the Site or Services
  • Any unauthorized access to or alteration of your data or transmissions
  • Any content, statements, or conduct of any third party on the Site
  • Any interruption, suspension, or termination of the Site or Services
  • Any errors, omissions, or inaccuracies in Site content

In no event shall our total aggregate liability to you for all claims arising out of or relating to the use of the Site or Services exceed the greater of: (a) the amount you have paid to Escarpment Smart Home Inc. in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100.00).

Some Canadian provinces do not allow the exclusion or limitation of certain damages. In such provinces, our liability is limited to the maximum extent permitted by applicable provincial law.

7. Indemnification

You agree to indemnify, defend, and hold harmless Escarpment Smart Home Inc., its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the Site or Services
  • Your violation of these Terms
  • Your violation of any applicable law, regulation, or third-party right
  • Any content you submit, post, or transmit through the Site
  • Any misrepresentation made by you in connection with your use of the Services

This indemnification obligation will survive the termination of these Terms and your use of the Site and Services.

8. Third-Party Links and Resources

The Site may contain links to third-party websites, applications, or services that are not owned or controlled by Escarpment Smart Home Inc. These links are provided solely for your convenience and informational purposes.

We have no control over, and assume no responsibility for, the content, privacy policies, practices, or availability of any third-party websites or services. We do not endorse or make any representations about third-party websites or any information, products, or materials found on them.

If you access any third-party website through a link on the Site, you do so at your own risk and are subject to that website's own terms and conditions. We encourage you to review the terms of service and privacy policy of every third-party website you visit.

9. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site and Services, you consent to the data practices described in the Privacy Policy.

We encourage you to read the Privacy Policy carefully before submitting any personal information through the Site. The Privacy Policy explains what data we collect, how we use it, how we share it with advertising and analytics partners, your rights regarding your data, and how you can exercise those rights.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any legal proceedings arising out of or relating to these Terms or your use of the Site and Services shall be brought exclusively in the courts of competent jurisdiction located in the Regional Municipality of Halton, Province of Ontario, Canada. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

11. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute"), the parties agree to first attempt to resolve the Dispute through informal negotiation. You may initiate informal negotiations by sending a written notice to Escarpment Smart Home Inc. at [email protected] or by mailing a notice to 556 Wettlaufer Terrace, Milton, ON L9T 7N1, Canada.

The parties shall have thirty (30) calendar days from the date the notice is received to attempt to resolve the Dispute informally. If the Dispute is not resolved within this period, either party may proceed to binding arbitration administered by the ADR Institute of Ontario under its arbitration rules then in effect. The arbitration shall take place in the Town of Milton, Ontario, and shall be conducted in English.

The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

12. Termination

Escarpment Smart Home Inc. reserves the right, in its sole discretion, to suspend or terminate your access to the Site and Services, without prior notice, for any reason, including but not limited to:

  • Breach of any provision of these Terms
  • Conduct that we reasonably believe is harmful to other users, third parties, or our business
  • Request by law enforcement or other government agencies
  • Extended periods of inactivity on your account
  • Technical or security issues

Upon termination, your right to access and use the Site ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

If you have an active service contract with Escarpment Smart Home Inc., the termination of Site access does not automatically terminate your service contract. Service contract terms are governed by the separate agreement executed between you and our company.

13. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will post a notice on the homepage of our Site at least fourteen (14) days before the revised Terms take effect. The "Last Updated" date at the top of this page will reflect the date of the most recent revision.

Your continued use of the Site and Services after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must discontinue your use of the Site and Services before the changes take effect.

We encourage you to review these Terms periodically to stay informed about the conditions governing your use of our platform.
